Reasons for Amendments to the Charter of the Company
During the course of a company's operations, changes and additions may be made to the primary document (the Charter) for various reasons, such as:
- The participants or shareholders of the company may decide to increase the charter capital.
- Changes in the procedure for the appointment and reporting of management bodies to other members of the company.
- A participant may propose changes to the governing bodies or the audit commission.
- The director may decide to resign early and appoint new elections for the leadership.
- Shareholders may demand an audit of the company's activities and appoint an audit commission.
- Participants and shareholders may define new provisions regarding the motivation and compensation of members of management bodies.
- The assembly may adopt amendments regarding the reorganization or liquidation of the company. The assembly has exclusive authority to divide or allocate assets in the creation of a new legal entity.
- Other provisions as stipulated by the Charter and law.
Changes can be made depending on the number of votes specified in the Charter. For instance, an increase in the authorized capital requires the consent of all founders, while changing the director can be approved by the majority of participants.
